본 연구는 동일지배거래에 대한 현행회계기준, 국제회계기준 및 미국회계기준 현황을 살펴보고 동일지배거래에 대한 현행 기업회계기준의 문제점을 지적하고 동일지배거래 회계기준 제정방향을 제시하였다. 본 연구의 주요 연구결과를 요약하면 다음과 같다. 첫째, 동일지배거래에서 현재 제기되고 있는 세 가지 회계처리방법, 장부금액법, 공정가치법, 그리고 새출발법 중에서 장부금액법을 선택하는 것이 바람직하다. 둘째, 동일지배거래는 거래는 크게 사업에 해당하지 않은 순자산이전거래와 기타거래로 구분되며 회계처리는 거래유형에 따라 달라진다. 사업에 해당하지 않은 순자산이전거래는 현행 회계처리와 일관되게 공정가치법으로 회계처리하며 사업에 해당하는 순자산이전거래, 예하면 동일지배하의 합병거래, 주식인수도와 사업양수도 및 기업분할거래 등은 장부금액법으로 회계처리 한다. 셋째, 회계기준의 국제적 통합성을 위하여 동일지배거래에서 각 국가별로 동일한 거래사안에 대하여 서로 다른 회계처리방법을 사용하는 것은 개선되어야 한다. 이상의 내용을 바탕으로 동일지배거래에 대한 건전한 회계처리가 되기 위해서는 동일지배거래의 경제적 실질에 관한 이론적인 측면과 제도적인 측면에서 광범위한 연구가 이루어져야 할 것이며 국제적으로 통합된 공정하고 합리적인 제도적 조치가 강구되어야 한다.
This study reviewed how Korean GAAP, Korean GAAP and US GAAP deal with Common Control Transaction(CCT), analyzed the current Common Control Transaction(CCT), and proposed the direction of accounting standards of Common control transaction. The main research results of this study are as follows:First, there are three accounting methods in the CCT currently: Book Value Method, Fair Value Method, and Fresh Start Method, of which Book Value Method is preferential.Second, the CCT is divided into Transfer of net assets (TNA) irrelated to business and Transfer of net assets related to business. Different transactions are dealt with by different methods. Transfer of net assets (TNA) irrelated to business is dealt with by Fair Value Method, while Transfer of net assets related to business is dealt with by Book Value Method, including transaction merger, the transfer of interests, the transfer of business and corporate divestitures and so on. Third, in order to unify different accounting standards into one international standard, the current situation should be improved, which is that different countries deal with the same transactions by different accounting methods. Above all, an intensive study is needed from both academic and practical aspects on the economic substance of the common control transactions. In addition, the one international standard needs to be set to avoid different accounting for the same transactions among the countries.
