[연구목적] 본 논문은 증권신고서의 가독성에 대한 시장반응을 통해 가독성의 정보효과에 대해 연구한다. 구체적으로 기업이 보고하는 증권신고서 상의 핵심투자위험 사항의 가독성에 따라 신주 저가발행 수준과 신주 발행 이후 단기 및 장기 주식수익률에 차이가 있는지를 분석한다. 기업 공시의 가독성이 높을수록 투자자는 정보를 잘 이해하여 기업가치 평가가 효율적으로 이루어진다. 반면, 경영자들은 의도적으로 이해하기 어려운 형식으로 정보를 제공하여 기업위험이 주가에 지연 반영 되도록 가독성을 기회주의적으로 사용할 수 있다. [연구방법] 2011년부터 2019년 주식시장에 상장된 기업 중 유상증자를 실시한 기업 총 482개 기업-연도를 대상으로 하였다. 구체적으로 파이썬을 이용하여 증권신고서의 핵심투자위험 사항에서 텍스트를 추출한 다음, 온점(.)을 기준으로 개별문장을 분절하였다. 다음으로 단어의 수와 음절 길이를 측정하고 이를 이용하여 세 가지 가독성 지수를 측정하였다. 종속변수로는 각각 신고서 상 할인율 및 상장일 주가 대비 발행가액으로 할인율을, 신주발행일 이후 3일의 CAR, +5일~+65일까지의 60일 간의 BHAR로 측정하였다. [연구결과] 분석 결과, 첫째, 가독성이 낮을수록 저가발행 정도가 감소하였다. 이는 기업이 투자자들이 이해하기 어려운 보고서를 공시하는 경우 신주발행가격에 기업위험이 즉시 반영되지 않는 것으로 해석될 수 있다. 둘째, 단기 및 장기 수익률과는 유의한 관계가 나타나지 않았다. 그러므로 가독성이 유상증자 이후 기업의 장, 단기 수익률에는 영향을 미치지 않았다. [정책적 시사점] 본 연구는 증권신고서의 가독성이 발행가격 결정에 영향을 미치는 요인이라는 것을 확인하였다는 점에서 의미가 있다. 특히 신규상장기업과는 달리 정보 입수가 가능한 유상증자 기업을 대상으로 하였으며 기업의 외부요인이 아닌 내부 요인인 가독성이 저가발행에 영향을 미친다는 점을 제시하여 투자자 및 증권신고서를 검토하는 규제기관에도 증권신고서의 형식 및 내용에 대한 공시 규정과 관련한 정책 수립에 시사하는 바가 있다.
[Purpose] This paper examines the association between readability of the “Risk factors” section in an SEO prospectus and market reactions using underpricing and short-and long-term abnormal stock returns. Investors can react more efficiently to news when it is presented in a highly readable form. In other words, bad news in less readable format may lead to a less efficient stock pricing. Thus, managers are likely to reveal risks around the firms in a less readable stock statements, resulting in an overstated issue price of new stock and lower stock returns afterward. [Methodology] We collect the “Risk factors” section of firms listed on the Korean stock market from 2011 to 2019. Using the number of sentences and the length of words, we measure three readability variables of FLESCH, FOG, and KINCAID. We regress discount rate and short-and long-term abnormal stock returns on readability. [Findings] We find that discount rates are lower for firms which submit less readable prospectus. This result suggests readability is a factor affecting price of new stock. However, short-and long-term stock returns are not associated with readability. [Policy Implications] Our findings demonstrate that non-financial factors such as readability can affect underpricing of newly issued stock. This paper has political implications for investors and regulators regarding the quality of SEO firms’ stock statements especially, by asking guidelines about disclosures.
