중국의 40년에 걸친 개혁과 개방을 통해서 중국 기업은 전략적 변화 과정으로 성장하고 발전해 왔다. 1989년에 중국 기업(중국은행)이 최초로 세계 500대 기업에 포함되었다. 2019년은 129개의 중국 기업이 500대 기업에 진입하여 일본, 프랑스, 독일 및 영국에 있는 500대 기업의 총 수와 같았다. 이는 미국 상위 500대 기업 수 (121개)를 초과했다. 2019년 23개 세계 500대 선도 산업에서 중국 회사와 미국 회사가 각각 10개로 43.5%를 차지했다. 이것은 중국의 경제발전 성장 속도와 질이 어을이진 중국 기업의 성장을 반영한다.지분 구조는 기업 지배구조의 핵심적 출발점이다. 기업의 전략적 변혁은 기업의 업무 조정, 인수합병 또는 분할을 이끌어 기업의 지분이 집중되거나 희석될 수 있다. 지분 집중도는 전략변혁의 시행밎 추진과 상관관계가 높다. 많은 학자들이 지분 집중도와 기업 성장의 관계, 전략적 변혁과 기업 성장과의 관계에 대해 연구를 진행하였다. 그러나 중국에서 아직 전략적 변혁과 기업의 성장성 관계에 대한 지분 집중도의 영향에 관련 선행 연구는 거의 없다. 2012~2018년 상해증권거래소와 심천증권거래소에 상장된 A주 시장의 재무 및 경영자료를 본 논문의 연구 자료로 사용하였다. 요인분석을 적용해 수익능력, 운영능력, 혁신능력, 발전능력의 네 가지 측면에서 자산수익률, 총자산 회전율, 연구개발지출비율, 지속가능 성장률 등 12개 세부 재무나 업무지표를 선택해 기업의 성장성 수준을 종합적으로 평가하었다. 기업 전략 변화 정도에 영향을 미치는 기업의 자원 배분 변화를 광고투자, R&D 투자와, 유형자산, 비생산적 원가, 재고수준, 그리고 재무레버리지의 갱생을 선택하여 기업의 전략적 변혁 정도를 측정하였다. 표본 기업의 지분 집중도를 측정하기 위해 제1 주주 지분 비율과 상위 5개의 주주 지분 비율을 선택하였다. Stata15 데이터분석 프로그램을 사용하여 중국 제조업 기업의 지분 집중도 수준, 전략적 변혁 수준, 성장성 수준을 통계적으로 분석하였다. 그리고 지분집중도, 전략적 변혁, 기업성장성 관계를 점진적으로 검증하기 위해 다중 선형 회귀 모델을 설정했다. 연구 결과에 따르면 낮은 지분집중도(20% 미만)와 기업의 성장과의 관계는 유의하지 않았다. 지분집중도가 20%를 초과할 경우 기업의 성장성과 상관되는 지분집중도는 제1 주주 지분의 영향계수가 상위 5개의 주주 지분율의 영향 계수보다 높게 나타났다. 전략적 변혁은 기업의 성장과 양의 U자형 관계이고, 낮은 전략적 변혁 수준은 기업의 성장과 역 상관관계이며, 높은 전략적 변혁 수준은 기업의 성장과 긍정적인 상관관계가 있다. 제1 주주의 지분 비율은 전략적 변혁과 기업의 성장성 관계에 대해 긍정적인 규제 효과가 있지만, 상위 5개 주주의 지분 비율은 전략적 변혁과 기업의 성장 관계에 큰 영향을 미치지 않아 중국 상장기업의 독보적인 성장성이 주주보다 위에 있음을 보여준다. 연구 결과에 살펴보면, 기업의 초기 실적, 내부통제 수준, 경영 전문화 여부, 기업 규모 및 기업 설립연수는 성장성과 뚜렷한 연관성을 가진다. 또한, 연간 가상변수와 업종별 가상변수의 회귀 결과는 연도별 차이와 업종별 차이를 보여준다. 이는 기업의 성장이 연도별, 업종별 경제환경과 정책 차이에 의해 영향을 받았음을 보여준다.본 논문은 실증 분석을 바탕으로 기업의 지속 가능한 발전을 촉진하기 위해 기업의 전략적 변화와 기업 지분 비율에 관한 제안을 한다. 이 제안들은 상장 기업의 의사 결정 및 경영의 독립성을 높이고, 상장 기업의 경영 의사 결정에 대한 대주주의 영향력을 제안하여, 중국 상장기업의 권력 형평 체제와 의사결정 체계를 강화하고 보완하는 것을 포함한다, 기업은 전략적 개혁을 실행하고 활용하여 국제 및 국내 비즈니스 환경의 변화에 전적으로 주의를 기울여야 한다. 기업의 전략적 변화를 촉진하려면 기업의 초기 성과, 재정적 건전성, 기술 보유 및 인재 보유와 같은 요소도 충분히 고려해야 한다. 회사의 자체 여건이 미비하여 전략적 변화를 강제로 추진하면 회사의 발전과 성장을 촉진하는 데 실패 할 뿐만 아니라 회사의 개혁에 실패하고 회사의 재무 또는 경영위험이 증가하며 회사의 생존과 발전을 위태롭게 할 수 있다.'중국 제조 2025'를 추진하는 중간시기에 새로운 기술 혁명, 산업 변혁이 중국 경제 발전 가속화에 역사적 교차점을 형성하고 국제 산업 분업을 재편하고 있다. 세계 경제 구조의 큰 변화에 대한 중국 경제 구조의 변화라는 맥락에서 중국 상장 기업의 자본 집중, 전략적 변화 및 기업 성장 간의 관계를 연구하는 것은 이론적, 실제적으로 중요성이 높다. 이 연구의 목적은 기업의 전략적 변화와 관련된 연구의 지평과 방법을 풍부하게 하고 확장하는 것이다. 따라서 중국과 한국, 중국과 일본, 중국과 미국, 중국과 유럽의 지분 집중, 전략적 변화 및 기업 성장 비교 등 기업의 전략적 변화와 기업 성장에 관한 후속 연구에 대한 아이디어와 근거를 제공한다.
The forty years after China’s reform and opening up has witnessed the continuous development of Chinese companies in the context of strategy adjustment. In 1989, there was only one Chinese company (Bank of China) on the Fortune 500 firms list. By 2019, 129 Chinese enterprises, which is the total number of Fortune 500 companies in Japan, France, Germany and the United Kingdom, had entered the list. And the number of Fortune 500 firms in China has outrun that of the United States (121 firms). Among the 23 leading Fortune 500 enterprises in different industries in 2019, 10 is from China while 10 is from America, each counting for 43.5%. Facts mentioned above reflect the economic development of China and the speed and quality of the growth of Chinese enterprises.Ownership structure is a crucial factor for corporate governance. A company’s strategic changes lead to business adjustment, mergers and acquisitions or spin-offs, so that companies’ equity can be concentrated or diluted. In addition, the ownership concentration has a high correlation with the implementation and promotion of strategic changes. Many scholars have studied the relationship between ownership concentration or strategic changes and corporate growth. However, there are few prior studies in Chnia on the regulating effect of ownership concentration on strategic changes and corporate growth.This paper uses A-share industrial listed companies in Shanghai and Shenzhen from 2012 to 2018 as the research sample. Using factor analysis, 12 specific financial or business indicators such as return on investment, total assets turnover, ratio of R&D expenditure, sustainable growth rate from the four aspects of profitability, operating ability, innovation ability and development ability are selected to evaluate the growth of enterprises comprehensively. As for the degree of corporate strategic changes, representative index of advertising investment, R&D investment, renewal of plant and equipment, non-productive cost, inventory level and financial leverage are chosen to measure the changes of corporate resource allocation, which reflects the degree of corporate strategic changes. The largest shareholder’s shareholding ratio and the top five shareholders’ shareholding ratio are selected to measure the ownership concentration of the chosen companies. Stata 15 data analysis software is employed to do descriptive statistic and analysis on ownership concentration situation, strategic changes and growth level of Chinese manufacturing companies. And a multiple linear regression model is built to examine the relationship between ownership concentration, strategic changes and corporate growth. The results show that low ownership concentration (less than 20%) has no significant relation with corporate growth. It is positively correlated with corporate growth, and the influence when ownership concentration is above 20%. The coefficient of the largest shareholder’s shareholding ratio is higher than that of the top five shareholders. There is a positive U-shaped relationship between strategic changes and corporate growth, which means that relatively low level of strategic changes is negatively correlated with business growth, while a higher level of strategic changes is positively correlated with the company growth. The biggest shareholder’s ratio has a positive regulating effect on the relationship between strategic reform and firm growth, while the top five shareholders has no such effect, indicating the growth ability is greater of those listed companies with a dominant shareholder instead of those with five large shareholders competing for the dominance. Moreover, performance of the previous year, the internal control level, professional level of operation, firm scale and how long the firm has been established have a significant correlation with the corporate growth level. Furthermore, the regression result of annual dummy variables and industry dummy variables reflects the variations between different years and different industries. And this result indicates the growth of companies is affected by economic environment and policies in different years and industries.According to the empirical analysis, the paper proposes relevant suggestions on corporate strategic changes and equity arrangements to promote sustainable development. The suggestions for listed companies include improving the independence of decision makers and managers, weakening the influence of major shareholders on business decisions and polish the mechanism of check and balance and decision-making. Companies should pay full attention to the changes in domestic and international business environment when carrying out strategic reform, taking advantage of the situation accordingly. And factors such as the performance of the previous year, capital resources, technical reserve and talent pool also need to be fully considered. Companies’ strategic reform carried out with insufficient abilities may result in failure instead of growth, and it may increase financial and operating risks which endanger the survival and development of companies.At the mid-term time when China is advancing Made in China 2025, a new round of scientific and industrial revolution has formed a historic convergence with the accelerated transformation of China’s economic growth pattern, and the international industrial division pattern is being reshaped. In the context of such domestic and international transformation, researches on the relationship between ownership concentration, strategic changes and growth ability of Chinese listed companies has strong theoretical and practical significance. The goal of the paper is to enrich and expand the horizons and methods of studies on corporate strategic changes, provide ideas for further research on corporate strategic changes and its growth, for instance, the comparative study on the topic between China and other countries or regions such as South Korea, Japan, America and Europe.
