지난 2008년 대법원은 회계분식행위에 관련된 주식회사 대우 사건 판결에서 고도로 분업화되고 전문화된 대규모의 회사(이하 “대회사”라고 한다)의 이사는 합리적인 정보 및 보고시스템과 내부통제시스템을 구축하고 그것이 제대로 작동하도록 배려할 의무가 있다는 획기적인 판결을 하였다. 대회사의 이사의 감시의무는 내부통제시스템을 통해 이행되어야 할 필요가 있다는 취지의 판결이었다고 할 수 있는데, 주로 법령위반행위에 관한 문제였다고 할 수 있다. 내부통제에 관한 우리나라의 최근 입법의 경과를 보면, 2011년 4월 개정 상법은 대통령령으로 정하는 일정규모 이상의 상장회사에 대하여 준법통제기준과 준법지원인을 두도록 하는 규정을 신설하였다. 공정거래법 위반행위에 관련한 2021년 유니언스틸사 사건 판결에서 대법원은 대회사의 이사의 내부통제의무를 보다 명확하게 인정하고 적용하였다고 평가할 수 있다. 즉 대회사의 이사는 내부통제시스템을 구축할 의무가 있고, 나아가 내부통제시스템이 적절하게 기능하고 있는지 감시해야할 의무가 있음을 보다 분명히 하였다. 그리고 대상 판결에서는 내부회계관리제도가 회계통제에 중점이 두어진 제도라는 점에서 내부통제시스템과는 구별된다는 점을 지적하였다. 즉 대회사의 내부회계관리제도와 윤리규범만으로는 공정거래법 위반행위와 같은 법령위반행위를 예방하고 시정하는 기능을 하는 내부통제시스템이 구축되었다고 보기에는 충분하지 않다는 취지의 판결이라고 할 수 있다. 나아가 대표이사에게는 회사의 업무전반에 대한 감시·감독의무와 책임이 인정된다는 점에서 보다 엄중한 내부통제의무를 부담한다고 할 수 있다. 마지막으로 유니언스틸 사건 대법원 판결과 직접적인 관련성은 없지만 미국의 경우 2008년 금융위기 이후 내부통제의 이슈가 법령위반행위로부터 “위험관리(risk management)”이슈로 변화하고 있다는 점에서 향후 내부통제의무의 맥락에서 대회사의 “위험관리(risk management)”이슈를 깊이 있게 다룰 필요성이 있다고 본다.
In 2008, the Supreme Court ruled that directors of large, highly divided and specialized corporations (hereinafter referred to as “large corporations”) were obligated to establish reasonable information and reporting systems and consider them to work properly. It can be said that it was a judgment to the effect that the supervisory obligation of the directors of the corporation needs to be implemented through the internal control system, and it can be said that it was mainly a matter of violation of laws. Looking at the progress of Korea’s recent legislation on internal control, the revised Commercial Code in April 2011 established a new regulation requiring compliance control standards and compliance officers for listed companies of a certain size or larger prescribed by Presidential Decree. In the 2021 Union Steel case ruling on violations of the Fair Trade Act, it can be evaluated that the Supreme Court more clearly recognized and applied the duty of internal control of the directors of the corporation. In other words, it was more clear that the directors of the corporation were obligated to establish an internal control system and to monitor whether the internal control system was functioning properly. In addition, the Supreme Court pointed out that the internal accounting management system is distinct from the internal control system in that it focuses on accounting control. In other words, it can be said that the corporation's internal accounting management system and ethical norms alone are not enough to establish an internal control system that functions to prevent and correct violations of laws such as violations of the Fair Trade Act. Furthermore, it can be said that the CEO bears a more strict duty of internal control in that the corporation's overall duty of monitoring and supervision and responsibility are recognized. Lastly, although it is not directly related to the Supreme Court ruling in the Union Steel case, since the 2008 financial crisis, the issue of internal control has changed from a violation of laws to a “risk management” issue, so it is necessary to deal with the corporation’s “risk management” issue in depth.
