South Korea has operated a voluntary corporate governance disclosure system for approximately two years, having put it in place since March 2017. South Korea switched from voluntary disclosure of corporate governance reports to mandatory disclosure in December 2018. Furthermore, in order to enhance the quality of disclosure, the Financial Services Commission modified the Securities Market Disclosure Regulations. This involved imposing an obligation on companies to furnish details regarding their adherence to 15 key indicators of corporate governance, which are derived from the 10 fundamental principles of corporate governance. KOSPI-listed companies with assets over KRW 2 trillion or more will be required to make mandatory disclosures in their corporate governance reports under the Corporate Governance Disclosure System starting in 2019. The Corporate Governance Disclosure System aims to improve corporate governance while also increasing the medium- to long-term value and management of the company. Consequently, it's critical to confirm that Corporate Governance Disclosure System is operating as intended. The purpose of this research is to examine the effects of the 2019 revision to the Securities Market Disclosure Regulations, which mandated the disclosure of corporate governance reports. The research will be carried out using empirical methods. This study uses principal-agent theory to investigate how the 2019 introduction of mandatory disclosure in corporate governance reports affects the relationship between tax avoidance and enterprise value. From 2015 to 2020, companies listed on the Korea Exchange securities market are examined in this study. First employ propensity score matching (PSM) to classify the experimental and control groups based on whether or not they were required to disclose in 2018 in order to produce a homogenous sample in terms of covariates. Additionally, employ the DID method to conduct an empirical analysis of how the mandatory disclosure system for corporate governance affected securities firms' firm value based on the size of their assets after it was put into place. Furthermore, present empirical data comparing entrepreneurs who made required disclosures to those who did not following the implementation of the corporate governance disclosure system with regard to the impact on the relationship between tax avoidance and firm value. The following are the study's empirical findings. First, discover that both before and after mandatory disclosure, the firm values of companies with and without mandatory corporate governance disclosure differ, and that, following mandatory disclosure, the firm values of companies with mandatory disclosure rise more than those of companies without mandatory disclosure. From an agency standpoint, this implies that required corporate governance disclosure significantly lessens information asymmetry between businesses and investors. Second, discover that compared to firms that did not make mandatory disclosures under the corporate governance disclosure regime, the negative relationship between tax avoidance and firm value is substantially smaller for firms that did make mandatory disclosures. A reduction in information asymmetry between firms and investors is suggested by our finding that firms with mandatory corporate governance disclosures have higher firm values than firms without such requirements. According to these findings, the list of businesses that must disclose their corporate governance practices should be progressively increased in order to include enough information about corporate governance and promote the transparency of corporate management through the market. Better corporate governance can lessen the negative correlation between tax evasion and firm value, according to earlier research. The mandatory disclosure system for corporate governance has resulted in a lessened negative correlation between tax avoidance and firm value for firms that comply with the system than for firms that do not. This suggests that corporate governance needs to be strengthened.
한국은 2017년 3월에 기업지배구조 공시제도를 도입해 약 2년간 자율 공시 방식으로 운영해 왔다. 2018년 12월 한국거래소는 기업지배구조보고서의 자율 공시에서 의무 공시로 전환했다. 동시에 금융위원회는 공시의 질을 높이기 위해 '유가증권시장 공시 규정'을 개정해 기업지배구조 10대 핵심 원칙에 따른 15개 기업지배구조 핵심 지표의 준수 현황에 대한 정보를 필수적으로 제공하도록 요구한다. 자산 2조원 이상의 코스피 상장기업은 2019년부터 기업지배구조 공시제도에 따라 기업지배구조 보고서의 의무화 공시를 해야 한다. 기업지배구조 공시제도를 통해 중장기 기업가치 및 기업 경영의 투명성을 제고하고, 기업의 지배구조 개선에 이바지하는 데 취지를 가지고 있다. 따라서 기업지배구조공시 제도가 도입 목적을 달성하고 있는지 확인하는 것이 중요하다. 본 연구는 대리인 관점에 따라 2019년에 조세회피와 기업가치의 관계를 통해 도입된 기업지배구조보고서 공시 의무화의 효과를 실증적으로 검증한다. 본 연구는 2019년에 유가증권시장 공시 규정 개정을 통해 도입된 기업지배구조보고서 공시 의무화의 효과를 실증적으로 검증한다. 본 연구는 2015년부터 2020년까지 한국거래소 유가증권시장에 상장된 기업을 대상으로 분석하였다. 먼저 성향점수 매칭(PSM)을 사용하여 2018년에 의무 공시 여부에 따라 실험군과 대조군을 구분하여 공변량과 관련하여 동질적인 표본을 추출하였다. 나아가 기업지배구조 공시제도 의무화는 자산규모에 따라 유가증권 법인들을 대상으로 기업지배구조 공시제도 의무화 후에 의무적 공시한 기업과 그렇지 않은 기업이 기업가치에 미치는 영향이 이중차분법(DID)을 통해 실증적으로 분석한다. 또한 기업지배구조 공시제도 의무화 후에 의무적 공시한 기업과 그렇지 않은 기업가 조세회피와 기업가치의 관계에 미치는 영향의 실증적인 증거를 제시하였다. 본 연구의 실증분석 결과는 다음과 같다. 첫째, 기업지배구조 공시제도는 의무화 전과 후에 의무적 공시한 기업과 그렇지 않은 기업의 기업가치 차이가 나타났고, 의무화 공시 후에 의무적 공시한 기업은 그렇지 않은 기업보다 기업가치를 더 제고하는 것으로 나타났다. 이는 기업지배구조 공시제도 의무화가 대리인 관점에 따라 기업과 투자자 간의 정보 비대칭성을 줄이는 데에 유의한 역할을 하고 있음을 시사한다. 둘째, 기업지배구조 공시제도가 의무화 후에 의무 공시한 기업은 그렇지 않은 기업보다 조세회피와 기업가치의 부정적 관계에 유의적 약화한 영향을 미치는 것으로 나타났다. 선행연구에 따르면 조세회피와 기업가치의 부정적인 관계는 기업지배구조 개선하면 완화되는 것으로 나타났다. 본 논문은 기업지배구조 공시제도 의무화 후에 의무적 공시한 기업은 그렇지 않은 기업보다 기업가치가 증가하여, 기업과 투자자 간 정보 비대칭성을 완화하는 것이 시사한다. 이러한 결과는 시장을 통한 기업 경영의 투명성을 높이기 위해서는 기업지배구조 의무 공시 대상 기업의 범위를 점진적으로 확대하여 기업지배구조에 대한 충분한 정보를 제공해야 함을 시사한다. 또한 기업지배구조 공시제도 의무화 후에 의무적 공시한 기업은 그렇지 않은 기업보다 조세회피와 기업가치의 부정적인 관계를 완화하며, 기업지배구조 개선하는 것이 시사한다.
