This study empirically examines whether executive compensation is related to future corporate performance and there is any difference in the relation depending upon corporate governance structure. Furthermore, excess compensation is measured as executive compensation net of average compensation in the corresponding industry. We use the data of Chinese firms which are listed on the Shanghai and Shenzhen Stock Exchanges. The study period is from 2008 to 2014. The empirical results can be summarized as follows.First, the more excess compensation CEOs earn, the higher the corporate performances of Tobin’s Qs and ΔHPRs are. The excess compensation of the top managers, however, was only related to Tobin’s Q. And the excess compensation of the board chairman has a positive effect on Tobin's Q and ROA, not ΔHPR and ROE. As a result, CEO compensation affects market performance indicators, but not accounting performance measures. Second, the interaction variable of corporate governance structure and top manager's excess compensation, and that of corporate governance structure and board chairman's excess compensation squared are significantly and positively related to Tobin’s Q and ROA. In contrast, the interaction variable of corporate governance structure and CEO's excess compensation are related to Tobin’s Q and ΔHPR, not ROA completely.Third, the more superior corporate governance structure of a firm is, executives' excess compensation has a positive relation with future Tobin’s Q. For firms with superior governance structure, executive compensation is also positively associated with future ROA and ΔHPR.Although the development of the Chinese economy has reduced the gap between state-owned and private corporations, there are still considerable differences between them. Therefore, it would be meaningful to study the effect of the excessive compensation of executives on future corporate performance in state-owned enterprises and private corporations separately.
본 연구는 임원보수와 미래의 경영성과 및 기업지배구조, 임원보수와 경영성과간의 관련성에 대해 실증분석을 진행하고자 한다. 본 연구에서는 2008-2014년까지 상하이증권거래소와 선전증권거래소에 상장되어 있는 기업들의 데이터를 이용하여 실증분석을 진행하였다. 그 실증분석결과는 다음과 같다. 첫째, CEO의 초과보수가 높을수록 미래의 시장 성과지표 Tobin’s Q, ΔHPR에 긍정적인 영향을 미치는 것으로 나타났고 ROA, ROE에는 영향을 미치지 않는다. 반면, Top Manager들의 초과보수는 Tobin’s Q에만 영향을 미치는 것으로 나타났다. 이사장의 초과보수는 차기의 Tobin’s Q, ROA에 긍정적인 영향을 미치고 ΔHPR, ROE에는 영향을 미치지 않는다. 이는 CEO의 초과보수는 시장 성과지표에 영향을 미치고 회계상 경영성과에는 영향을 미치지 않는 것으로 판단된다. Top Manager들의 초과보수는 회계상 경영성과에 영향을 미치지 않고 시장 성과지표에는 일관성 있게 영향을 준다고 얘기할 수 없다. 또한 이사장의 초과보수는 일관성 있게 미래의 시장 성과지표와 회계상 경영성과에 영향을 미친다고 얘기할 수 없다. 둘째, 기업지배구조와 Top Manager들의 초과보수, 기업지배구조와 이사장의 초과보수의 곱으로 된 상호작용변수가 클수록 미래의 시장 성과지표를 보여주는 Tobin’s Q와 회계상 경영성과를 보여주는 ROA에 긍정적인 영향을 주는 것으로 나타났다. 그러나 기업지배구조변수와 CEO의 초과보수로 구성된 상호작용변수는 시장 성과지표 Tobin’s Q, ΔHPR에 긍정적인 영향을 미치나 ROA에는 전반적으로 긍정적인 영향을 미친다고 설명할 수 없다.셋째, 기업지배구조가 우수한 기업일수록 임원의 초과보수는 미래의 Tobin’s Q에 긍정적인 영향을 미친다. 또한 기업지배구조가 우수한 기업일수록 Top Manager들의 초과보수와 이사장의 초과보수는 미래의 ROA에 긍정적이 영향을 미치고 CEO의 초과보수는 미래의 ΔHPR에 긍정적인 영향을 미쳤다.중국경제의 발전으로 국영기업과 민영기업의 괴리가 많이 줄어들었으나 아직도 상당한 차이가 존재한다. 이에 국영기업과 민영기업에 있어서 임원의 초과보수가 미래의 경영성과에 미치는 영향에 대해 연구하는 것도 의미가 있을 것으로 생각된다.
