본 논문은 국내 가족기업에서 가족의 소유권과 경영 참여도가 기업가치에 어떠한 영향을 미치는지 기업 불투명성과 함께 연구하였다. 연구는 한국거래소의 유가증권시장(KOSPI)에 상장되어있는 창업자를 포함한 가족이 최대주주인 기업들을 대상으로 한다. 경영 참여도를 측정하기 위해 가족의 경영형태를 가족이 직접 CEO직을 수행하는 가족직접경영, CEO는 전문 경영인 이지만 가족이 경영진이나 이사회에 속해있는 가족간접경영, 가족이 경영에 전혀 관여하지 않고 오직 최대주주로서의 소유권만 가지고 있는 가족비경영으로 분류하였다. 또한 기업의 투명도를 측정하기위해 거래량, 매수매도호가 스프레드, 추종 애널리스트 수, EPS 추정오차 값을 사용하여 만들어진 Anderson, et al (2009)의 불투명성 지표를 사용하였다. 회귀분석 결과, 기업의 불투명도는 기업가치를 매우 손상시키는 반면, 가족의 경영 참여도는 기업가치에 영향력이 없는 것으로 나타났다. 다만, 가족의 소유권은 기업의 불투명도에 따라 영향력을 가지는 것으로 확인되었다. 불투명한 기업에서는 가족의 소유권이 높아질수록 불투명도에 따른 기업가치 훼손을 완화해주는 것으로 나타나 일치가설을 지지한 결과가 나왔다. 반면, 투명한 기업에서는 가족의 소유권이 높아질수록 기업가치가 더욱 감소되는 것을 발견할 수 있었다. 이는 다른 결과값들을 고려했을 때, 가족의 침해효과를 지지하는 결과로 해석하기 보다도 가족의 침해효과를 우려한 시장의 저평가 혹은 가족기업 또는 재벌기업을 상대로 한 정부의 과도한 규제, 즉 과도한 투명성 유지 비용의 발생 때문으로 해석할 수 있다.
In this paper, it is examined how family ownership and management style affect firm value with the firm’s opacity level. The sample firms are KOSPI-listed whose largest shareholder is a family member, including the founder. The level of family management is measured by classifying the firms into three class: direct management where the firm’s CEO is the family, indirect management where the family is participating in the firm’s BOD and management group, and non-family management where the family has no control over the firm but only has its ownership. Firm’s opacity is measured using the opacity index developed by Anderson, et al (2009). Results from regressions indicate that the family has no effect on its firm value while the opacity significantly deteriorates the company value. Yet, their ownership obtains effect on the firm value only with the firm’s opacity. In highly transparent firms, family ownership mitigates the deterioration on the firm value from its opacity. While, in highly opaque firms, family ownership decreases the firm value with opacity. The analysis suggests that family ownership let the family’s interest align with the interest of their firm’s minor shareholders so that the family has no incentive to improve the firm’s transparency. Also, strict regulations on family firms in Korea and the market’s under-valuation over the firm due to the concern of family’s entrenchment might decrease the firm value by imposing heavy transparency maintenance cost.
