The primary objective of this study is to systematically analyze the concept of "substantial control," which is used as the basis for a judge’s judicial law-making due to the defects in of the legislations pertinent to determining whether the principal contractor falls under the category of "user" according to the Trade Union and Labor Relations Adjustment Act (TUALRAA). The current labor laws in South Korea regulate only the relationships between a laborer and the principal employer who have entered into a labor contract. However, even in a subcontract relationship, there is a need for labor law to intervene even though there is no direct labor contract relationship. For instance, there might be instances of unfair labor practices, such as the principal contractor’s dominating or intervening in the activities of a subcontractor’s labor union, which necessitate legal regulation. In this regard, courts in Korea employ the concept of "substantial control" to recognize the principal contractor as a "user" under the TUALRAA. Recently, court rulings have gone beyond this recognition, requiring the principal contractor with substantial control to engage in collective bargaining with the subcontractor's labor union. While these rulings have spurred ample discussions, incorporating the concept of "substantial control" into the legal norms has not been adequately discussed. Therefore, this research aims to analyze the problems associated with the application of "substantial control" by the courts and propose a labor law-based conceptualization that maintains logical consistency within the framework of TUALRAA.The chapter titled ‘Substantial Control in the Domain of Labor Laws’ discusses the background, current application, and scope of the concept of substantial control, as well as related legal disputes, problems caused by the application of substantial control, and measures to address such problems. As principal-subcontractor relationships grew in number, the concept of substantial control emerged as a means to impose responsibilities on principal contractors toward workers employed by subcontractors without any labor contract with the principal contractors. The absence of a labor contract implies that regulations stipulated in labor laws do not apply, thus prompting deliberations on the legislative aspects of substantial control as one form of labor law regulation for third-party entities. In other words, discussion on substantial control is part of the discussion on expanding the definition of “user” under the TUALRAA, and this topic is irrelevant to legal sanctions on illegal dispatch or disguised subcontracting under the legal provisions governing individual labor relationships. Hence, problems occur when the same indicators used for determining illegal dispatch and disguised subcontracting are applied to determining substantial control, despite the different intent of the law governing individual labor relationships. To examine the root causes of such problems, this paper investigates the case of Japan, where the concept of substantial control was initially discussed. After all, the concept of substantial control used in the Korean law was cited from the Japanese law’s adoption of substantial control theory. Hence, by identifying the differences in the definition of “user” and the existence of punitive provisions between the labor laws of Kore and Japan, the author employs analogical reasoning (analogie in German) to account for the disparities between the laws of the two countries to propose ways to assess and determine substantial control in work relationships.The chapter titled ‘Specific Applications and Determination of Substantial Control’ aims to provide the understanding about substantial control by detaching it from the topics of illegal dispatch or disguised subcontracting, which are the targets of sanctions under the laws on individual labor relations. The concept of substantial control can be applied when there is an exceptional case that does not confirm or formulate a labor contract relationship. This chapter aims to delineate the elements that exhibit similarities with the concept of “user” as defined in labor laws by reviewing standards with which exceptional situations wherein substantial control is applied and investigating the criteria for determining substantial control in contentious circumstances. Such findings are expected to be helpful in developing the legal conceptualization of substantial control. Furthermore, this paper endeavors to clarify the relationship between substantial control and industrial safety, with the objective of resolving issues that arise from principal contractors’ passive adherence to obligations to avoid any legal disputes.In the chapter titled ‘Conceptualization of Substantial Control in Labor Laws,’ based on the review of contentious issues related to exceptions that would legitimize the use of substantial control, the author presents a conceptualization of substantial control in the context of labor laws using significant elements derived from the review and analysis As a result, the author proposes a set of criteria for substantial control concerning the right of association and right of collective action based on the proposed conceptualization, which differ from the existing criteria used by the courts for determining substantial control. Additionally, to establish accountability of principal contractors with substantial control, the author refers to France’s Corporate Duty of Vigilance Law and suggests its potential adaptation. Furthermore, the author redefines the concept of integration (Eingliederung in German), which has been traditionally utilized to determine substantial control, and presents it as a requirement for the corporate or employer with the Duty of Vigilance. Lastly, this paper concludes with suggested measures to improve issues that may arise in sites where subcontract relationships are formed and used, such as wage disparities, delays in wage payments, and industrial safety issues.
본 연구는 원청이 노조법상 사용자에 해당하는지 여부에 대한 입법흠결로 법관의 법형성으로 사용되는 ‘실질적 지배력’을 체계적으로 분석하고 노동법적 개념화를 시도하는 것을 목적으로 한다. 현행 노동법은 근로계약이 체결된 근로자와 사용자의 관계만을 규율하고 있다. 하지만 근로계약관계가 없는 원하청 관계에서도 노동법이 개입할 필요성은 존재한다. 대표적으로 원청이 하청노동조합을 상대로 한 지배·개입의 부당노동행위가 있을 수 있고 노동법적으로 이를 규율할 당위성이 존재한다. 이를 위해 법원은 실질적 지배력이라는 개념을 사용하여 원청의 노조법상 사용자성을 인정하는 판단을 하고 있다. 최근에는 이를 넘어 원청에 실질적 지배력이 있을 경우 하청노동조합과 단체교섭을 해야 한다는 법원의 판결이 등장하고 있다. 이러한 판결과 관련하여 많은 논의가 진행되고 있지만, 실질적 지배력에 대한 규범화 논의는 충분치 않았다. 본 연구는 법원의 실질적 지배력 사용 시 문제점을 분석하고 노조법 체계 내에서 논리적 정합성을 갖출 수 있도록 실질적 지배력의 노동법적 개념을 제시하고자 한다.‘노동법 영역의 실질적 지배력’에서는 실질적 지배력의 사용배경과 실태, 적용 범위에 대한 논의, 법적 분쟁 사례, 실질적 지배력을 사용함으로 나타난 문제점과 개선 방향을 다룬다. 실질적 지배력은 원하청 관계가 증가하면서 원청과 근로계약관계가 없는 하청업체 소속 근로자들에 대한 원청의 책임을 규율하기 위해 사용되기 시작했다. 근로계약관계가 없다는 것은 노동법상 규율이 적용되지 않는다는 것이므로 제3자에 대한 노동법 규제의 한 유형으로 실질적 지배력의 입법화 논의도 확인된다. 즉 실질적 지배력은 노조법상 사용자 확대 논의로 원청에 대한 개별적 근로관계법상의 제재인 불법파견 또는 위장도급과 다르다. 그럼에도 불법파견과 위장도급 판단 시 사용하는 지표를 사용하여 개별법의 취지가 다름에도 이를 그대로 적용할 경우 문제점이 발견된다. 이러한 문제점의 원인을 살펴보고자 실질적 지배력이 최초 논의된 일본의 사례를 검토한다. 실질적 지배력은 일본의 실질적 지배력설을 원용한 것으로 우리나라와 일본의 노조법상 사용자 개념과 처벌규정 존재 등 차이점이 확인되어, 이러한 차이점을 반영할 수 있도록 유추 추론 방식을 사용하여 실질적 지배력 판단 방안을 제시한다.‘실질적 지배력의 구체적인 적용 관계 및 판단’에서는 실질적 지배력을 개별적 근로관계법상 제재인 불법파견 또는 위장도급과 다른 측면으로 이해하고자 한다. 실질적 지배력은 근로계약관계의 확인 및 형성 이외 예외적인 필요성이 있을 때 사용할 수 있다. 이를 위해 실질적 지배력을 사용하는 예외적 상황의 기준과 쟁점별 판단기준을 검토하여 노조법상 사용자 개념과 유사성이 존재하는 요소를 정리한다. 이를 통해 실질적 지배력의 노동법적 개념화에 적용할 수 있을 것이라 기대한다. 또한, 실질적 지배력과 산업안전과의 관계를 규명하여 원하청 관계가 존재하는 현장에서 법적인 분쟁을 피하고자 원하청관계에서도 마땅히 이행하여야 할 의무에 소극적이던 문제를 해결하고자 하였다.‘실질적 지배력의 노동법적 개념화’에서는 실질적 지배력이 예외적으로 사용될 수 있는 쟁점을 정리한 결과 도출된 노동법상 유의미한 요소를 바탕으로 노동법적 개념화를 제시한다. 따라서 기존의 법원이 사용하던 실질적 지배력 판단 기준이 아닌, 개념 요소에 따른 단결권에 대한 실질적 지배력 판단기준과 단체행동권에 대한 실질적 지배력 판단 기준을 제시한다. 이외 실질적 지배력이 있는 원청에 대한 책임을 설정하기 위해 프랑스의 주의의무 적용 방안을 제시하였다. 기존에 실질적 지배력 판단에 사용하였던 편입의 개념을 재설정하여 주의의무의 주체 요건으로 제시하였으며 원하청 관계에서 발생할 수 있는 임금 격차, 임금체불, 산업안전 조치에 대해 개선 방안을 제시하였다.
