In the early stages, virtual assets aimed to be a ‘decentralized currency’ replacing traditional fiat currency but due to limitations in price volatility and transaction speed, they have been perceived more as investment instruments or fundraising methods to replace traditional investment assets. In the virtual asset market, there is a structural issue where virtual asset exchanges integrate the functions of financial investment firms, exchanges, and custody payment. Virtual asset issuers attract numerous investors during the issuance process and can profit by selling the held virtual assets when their market value rises after listing. In this process, virtual asset exchanges also obtain fees for listing and trading. In essence, there is a high likelihood of alignment of interests between issuers and exchanges regarding the issuance and listing of virtual assets. In such cases, virtual asset issuers might issue various virtual assets without proper verification of their technological capabilities or business viability, and exchanges might list virtual assets without rigorous validation. Moreover, cases of user harm due to widespread price manipulation after listing on exchanges are increasing. Despite these issues, it is a fact that the virtual asset market has been primarily addressed through criminal law enforcement by investigative agencies, given the inadequate related laws and regulations. However, considering the supplementary nature of criminal law, relying solely on criminal law enforcement is insufficient to adequately address new social phenomena. What is needed is a precise legal regulation that combines various legal means and institutions. This document examines the problems arising from the issuance, investment attraction, listing, and trading processes of virtual assets and related criminal law issues. Through such analysis, it aims to provide insights for designing appropriate regulatory measures for the virtual asset market in the future.
초기의 가상자산은 법정화폐를 대체하는 ‘탈중앙화 화폐’를 지향하였으나, 가격변동성과 거래 속도의 한계 등으로 인하여 실제 결제 수단으로 활용되기보다는 전통적 투자자산을 대체하는 투자 수단 또는 자금 조달 수단으로 인식되어 왔다. 가상자산시장에서는 가상자산거래소가 금융투자업자, 거래소, 예탁결제의 기능을 모두 통합하여 수행한다는 구조적인 문제점이 있다. 가상자산 발행자는 발행 과정에서 다수의 투자자를 유치하여 거액의 투자를 받고, 상장 후에 보유한 가상자산의 시세가 상승하면 이를 매각하는 방법으로 수익을 취할 수 있다. 이러한 과정에서 가상자산거래소 또한 상장 및 거래에 대한 수수료를 취득하게 된다. 즉, 발행자와 거래소는 가상자산의 발행ㆍ상장과 관련하여 이해관계가 일치할 가능성이 매우 높다. 이러한 경우에 가상자산 발행자는 기술력, 사업성 등이 검증되지 않은 가상자산을 무분별하게 발행하고, 거래소는 충실한 검증 없이 가상자산을 상장하게 될 우려가 있다. 또한 거래소 상장 후 만연한 시세조작 작업으로 인한 이용자의 피해 사례도 증가하고 있다. 이러한 문제점에도 불구하고 가상자산시장의 경우 관련 법령과 규제가 미흡하여 수사기관에 의한 형사법 집행이 주된 대응 수단이 되어 온 것이 사실이다. 그러나 형법의 보충적 성격 등을 고려할 때 형사법 집행만으로는 새로운 사회 현상에 대한 적절한 대응이 되기 어렵다. 공법적 수단 등 다양한 제도를 결합한 정밀한 법적 규제가 필요한 것이다. 본 문헌은 가상자산의 발행 및 투자 유치, 상장, 거래 등의 과정에서 발생하는 문제점과 그와 관련된 형사법적 쟁점을 검토하였다. 이러한 작업을 통하여 향후 가상자산 시장의 적정한 규제 방안을 설계할 때 고려해야 할 시사점을 얻을 수 있을 것이다.
